Parties to the Transaction Are

  • The Authority – Authorized to issue IRBs to finance the costs of certain projects without prior voter approval, usually represented by a local attorney.

  • The Company – Represented by it’s own legal counsel.

  • Trustee Bank – Acts as corporate trustee for the benefit of the bondholders.

  • Investment Banker – Underwrites the bonds or acts as a financial advisor in the structuring of the bond issue.  This should be a firm that has experience in the underwriting of bonds and is familiar with the area in which the project is to be established.

  • Bond Counsel – Should be knowledgeable in Missouri law, especially in the area of municipal bonds, and particularly federal tax law as it relates to municipal bonds.

  • Commercial Bank – Is involved if bonds have a private placement.

  • Applications are made to the Missouri Department of Economic Development.
